Agreement Between User and Daz Commerce (DealRockets Platform)

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User,” “Buyer,” “Supplier,” “Employer,” or “Visitor”) and Daz Commerce (“Company,” “we,” “us,” “our”), governing your access to and use of the DealRockets B2B online trade platform (the “Platform”).

By creating an account, accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
If you do not agree, you must immediately discontinue use of the Platform.

1. DEFINITIONS

For purposes of this Agreement:

• “Platform” means the DealRockets website, software, tools, APIs, content, and related services provided by Daz Commerce.

• “User” refers to any individual or entity using the Platform in any capacity.

• “Supplier” refers to a company posting product listings or responding to inquiries.

• “Buyer” refers to a business entity issuing inquiries (RFQs) to Suppliers.

• “Content” includes product images, text, catalogs, videos, specifications, or other material uploaded by Users.

• “Premium Membership” refers to paid promotional features offered to Suppliers.

2. ELIGIBILITY AND ACCOUNT CREATION

2.1 B2B Use Only

The Platform is strictly intended for business and commercial purposes.
Individual consumers acting for personal or household use should not use the Platform.

2.2 Business Authority

By registering, you represent that you are:

• at least 18 years old,

• authorized to create an account on behalf of your business, and

• legally capable of entering into binding contracts.

2.3 Account Responsibilities

You are solely responsible for:

• maintaining confidentiality of login credentials,

• ensuring compliance with these Terms, and

• all activities conducted under your account.

You agree to notify Daz Commerce immediately of any unauthorized access or security breaches.

2.4 One-Account Rule

Users may not maintain multiple accounts to manipulate search ranking, circumvent bans, or spam others.
Daz Commerce reserves the right to merge or suspend duplicate accounts.

3. PLATFORM RULES OF CONDUCT

You agree NOT to engage in any of the following prohibited actions:

3.1 Spam and Abuse

• Sending unsolicited mass messages, repetitive inquiries, or irrelevant communication.

• Harassing, threatening, or abusing other Users.

3.2 Automated Data Collection

• Scraping, crawling, harvesting emails or phone numbers, or using bots to collect data.

3.3 Intellectual Property Violations

• Uploading or distributing content that infringes copyrights, trademarks, patents, or trade secrets.

3.4 Interference and Circumvention

• Attempting to bypass security features, reverse-engineer the Platform, or use the system in a manner intended to harm its performance.

3.5 Fraudulent or Misleading Activities

• Posting false product listings.

• Issuing fake RFQs for price intelligence without intent to purchase.

• Misrepresenting your identity, business, or capabilities.

Violation of this section may result in immediate suspension or termination of your account.

4. SERVICES AND FEES

4.1 Free Features

Basic browsing and a limited number of inquiries may be provided free of charge.

4.2 Premium Memberships

Suppliers may purchase promotional memberships such as Gold or Platinum packages.
All Membership fees are:

• non-refundable once the service period has begun,

• non-transferable, and

• non-cancellable except where required by applicable law.

4.3 Fee Changes

Daz Commerce may modify pricing at any time with notice.
Continued use after notice constitutes acceptance.

5. PLATFORM ROLE & TRANSACTIONS (NO PAYMENT PROCESSING)

DealRockets is an inquiry-only B2B directory and communication platform.

5.1 No Payment Through Platform

Users are strictly prohibited from exchanging or requesting sensitive financial information on the Platform, including:

• credit card details,

• bank account numbers,

• payment passwords or OTPs.

5.2 Off-Platform Negotiation

All commercial arrangements—including quotations, contracts, payment terms, logistics, and Incoterms—must be discussed and finalized outside the Platform (via email, telephone, or other direct channels).

5.3 No Guarantees

Daz Commerce is not a party to any contract between Buyers and Suppliers and does not guarantee:

• product quality,

• supplier legitimacy,

• payment security,

• delivery,

• authenticity of Users.

All trade interactions are solely between the involved business parties.

6. USER CONTENT & LICENSE GRANT

By submitting or uploading Content, you grant Daz Commerce a:

perpetual, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license

to use such Content for purposes including:

• displaying the content on the Platform,

• marketing or promotional materials,

• social media posts,

• advertisements,

• derivative works or adaptations.

You represent that:

• you own or control all rights in the Content,

• the Content is accurate and lawful,

• you have the authority to grant this license.

7. INTELLECTUAL PROPERTY OF DAZ COMMERCE

All Platform software, databases, interface design, trademarks, logos, and proprietary technologies are the exclusive property of Daz Commerce.

Users may not:

• copy, distribute, or modify the Platform,

• reverse engineer any component,

• use Company trademarks without permission.

8. THIRD-PARTY LINKS AND SERVICES

The Platform may include links to third-party services.
Daz Commerce is not responsible for:

• content on external websites,

• actions of third-party service providers,

• any damages arising from use of third-party offerings.

Access is at your own risk.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Daz Commerce, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, or expenses (including legal fees) arising from:

• your use of the Platform,

• your violation of these Terms,

• your infringement of third-party rights,

• disputes between you and other Users.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Daz Commerce is not liable for:

• indirect, incidental, special, or consequential damages,

• lost profits or revenue,

• business interruption,

• loss of data, reputation, or goodwill.

10.1 Liability Cap

Total cumulative liability of Daz Commerce shall not exceed:

• the amount you paid in the last 12 months, or

• USD $100,

whichever is greater.

11. DISCLAIMER OF WARRANTIES

The Platform is provided “as is” and “as available”, with no warranties of any kind, express or implied, including:

• merchantability,

• fitness for a particular purpose,

• non-infringement,

• accuracy or completeness of listings,

• uninterrupted availability.

Users assume full responsibility for interacting with Buyers or Suppliers.

12. TERMINATION AND SUSPENSION

Daz Commerce may, at its sole discretion:

• suspend, restrict, or terminate your account,

• remove listings or Content,

• block access to the Platform,

for violations of these Terms, fraudulent behavior, non-payment, or any conduct harmful to the Platform’s integrity.

You may terminate your account at any time, but no refunds will be issued for paid services.

13. DATA HANDLING AND PRIVACY

Use of the Platform is also governed by the DealRockets Privacy Policy, which details:

• types of data collected,

• data usage and retention,

• User rights.

By using the Platform, you agree to these data practices.

14. FORCE MAJEURE

Daz Commerce shall not be liable for delays or failures caused by events beyond reasonable control, including:

• natural disasters,

• war or terrorism,

• labor disputes,

• power outages,

• network failures,

• government restrictions.

15. GOVERNING LAW AND DISPUTE RESOLUTION

15.1 Governing Law
